Terms of Service

Please read these terms carefully. They govern your use of the Ashiri platform and form a binding agreement between you and Ashiri Technologies Ltd.

1. Acceptance of Terms

By registering for an account, accessing, or using the Ashiri platform (“Platform”) at ashiri.ng, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

These Terms apply to all users of the Platform, including Coordinators, Contributors, and visitors.

2. About Ashiri

Ashiri is a digital platform operated by Ashiri Technologies Ltd, a company incorporated and registered with the Corporate Affairs Commission (CAC) of Nigeria. Ashiri digitises the traditional daily thrift (ajo/alajo) savings model, enabling Coordinators to manage savings groups professionally and Contributors to build verifiable financial histories.

Ashiri is currently CAC Registered. CBN licensing is in progress. Ashiri does not hold customer funds — all financial obligations between Coordinators and Contributors remain governed by their existing arrangements.

3. Definitions

  • “Platform” — the Ashiri website, web application, and all related services.
  • “Coordinator” — a registered user who manages a thrift savings group using the Platform.
  • “Contributor” — a market trader or individual whose savings are recorded by a Coordinator through the Platform.
  • “Savings Record” — the digital log of daily deposit entries for a Contributor.
  • “Group” — a collection of Contributors managed by a single Coordinator on the Platform.

4. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have a valid Nigerian phone number.
  • Provide accurate and complete registration information.
  • Not be barred from receiving services under applicable Nigerian law.
  • Have the legal capacity to enter into a binding agreement.

5. Account Registration and Security

You must register an account to access Coordinator features. You are responsible for:

  • Providing accurate, truthful, and current registration information.
  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account, whether or not authorised by you.
  • Notifying us immediately at [email protected] of any suspected unauthorised access.

You may not share your account credentials, create accounts on behalf of others without authorisation, or use another person’s account.

6. Coordinator Responsibilities

As a Coordinator, you acknowledge and agree to the following:

6.1 Data Accuracy

You are responsible for the accuracy of all savings records you enter for your Contributors. Ashiri provides the tools; the accuracy of data is your responsibility.

6.2 Contributor Consent

Before adding a Contributor to your group, you must inform them that their savings data will be recorded on the Ashiri platform and that this may be used to build a financial history. You warrant that you have obtained appropriate consent from each Contributor.

6.3 Financial Obligations

Ashiri is a record-keeping and management platform. It does not hold, process, or guarantee any funds. Financial obligations between you and your Contributors — including the timing and manner of payouts — remain entirely your responsibility and are governed by your existing arrangements with your Contributors.

6.4 Compliance with Law

You must operate your thrift group in compliance with all applicable Nigerian laws, including any regulations applicable to cooperative or savings schemes in your state.

7. Contributor Acknowledgements

If you are a Contributor, you acknowledge that:

  • Your savings records are managed by your Coordinator using the Ashiri Platform.
  • Ashiri does not hold your funds or guarantee payouts.
  • Your savings history on Ashiri may be used to build a financial identity for potential loan or credit access, subject to your consent.
  • Any disputes regarding your savings must first be addressed with your Coordinator.

8. Fees and Payment

All fees are denominated in Nigerian Naira (₦). Our current pricing plans are available at ashiri.ng/pricing.

  • Subscription fees are billed monthly and are non-refundable except where Ashiri is in material breach of these Terms.
  • Transaction fees apply per savings entry as stated in your plan. Fees may change on 30 days’ notice.
  • Failure to pay applicable fees may result in suspension or downgrade of your account.
  • Ashiri reserves the right to introduce new pricing tiers or modify existing ones. Existing subscribers will receive 30 days’ notice of any price increase.

9. Prohibited Conduct

You must not use the Platform to:

  • Provide false, misleading, or fraudulent information.
  • Record savings that did not occur or manipulate records dishonestly.
  • Engage in money laundering, fraud, or any activity that violates Nigerian law.
  • Attempt to gain unauthorised access to any part of the Platform or other users’ data.
  • Use the Platform to harass, abuse, or harm any person.
  • Reverse-engineer, scrape, or copy any part of the Platform without prior written consent.
  • Introduce malware, viruses, or harmful code into the Platform.

Violation of this Section may result in immediate suspension, account termination, and referral to relevant law enforcement authorities.

10. Intellectual Property

The Ashiri brand, logo, platform design, software, and all associated intellectual property are owned by Ashiri Technologies Ltd. Nothing in these Terms grants you any right to use our trademarks, logos, or intellectual property without prior written permission.

You retain ownership of any data you input into the Platform (your savings records and group data). By using the Platform, you grant Ashiri a limited licence to process and store that data for the purpose of providing the services.

11. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by Nigerian law, Ashiri disclaims all warranties, express or implied, including:

  • Merchantability, fitness for a particular purpose, or non-infringement.
  • Uninterrupted, error-free, or completely secure operation of the Platform.
  • The accuracy, completeness, or suitability of any information provided on the Platform.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Ashiri Technologies Ltd, its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from your use of the Platform.
  • Loss of savings, income, data, or profits — whether or not Ashiri was advised of the possibility of such loss.
  • Any disputes between Coordinators and Contributors regarding savings, payouts, or group management.
  • Technical failures, downtime, or data loss caused by circumstances beyond our reasonable control.

Our aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total fees you paid to Ashiri in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Ashiri Technologies Ltd and its officers, directors, and employees from any claims, losses, damages, or expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.

14. Termination

Either party may terminate these Terms and close an account at any time.

  • By Ashiri: We may suspend or terminate your account immediately for breach of these Terms, fraudulent activity, or non-payment of fees, with notice where reasonably practicable.

Upon termination, you may request a copy of your data before deletion, subject to our data retention obligations described in the Privacy Policy.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.

16. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act (Cap. A18, LFN 2004) or its successor legislation.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notice at least 14 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
